1. Purpose and scope

These General Terms of Sale (“Terms”) set out the rights and obligations applying to any sale of training, coaching, educational support, e-learning or certification services by Linguaid France SAS. They apply to any order placed by a business or private customer (“the Customer”) and prevail over any other document issued by the Customer. Any order implies full acceptance of these Terms.

2. Nature of the services

Linguaid France offers in particular: language training (general, professional and legal English); intensive, individual or group training; training for language trainers; self-study modules; language coaching; access to professional certifications, including the “Communiquer en Anglais Juridique des Affaires” (CAJA) certification; and bespoke training for companies. Learning objectives, arrangements, duration and content are set out in the agreements, quotations or information documents provided to the Customer.

3. Ordering and contract

An order becomes firm on receipt by Linguaid France of a signed contractual document: quotation, purchase order, training agreement, or invoice serving as a simplified agreement under article L6353-2 of the French Labour Code. No programme may start without a prior signed agreement or quotation. Linguaid France reserves the right to refuse an order on legitimate grounds (previous unpaid invoices, non-compliance with conditions, technical impossibility, insufficient level for the course, etc.).

4. Prices and payment

4.1 Prices. Prices are in euros. Linguaid France is exempt from VAT under article 261-4-4° a of the French General Tax Code. The applicable prices are those in force on the date the quotation or agreement is signed.

4.2 Payment. Payment is due on receipt of invoice, by bank transfer or cheque. Late payment incurs penalties of three times the statutory interest rate and a flat-rate recovery fee of €40 (art. D441-5 French Commercial Code). Where external funding applies (OPCO, FAF, etc.), the Customer remains liable for any balance not covered.

5. Funding — OPCO, FAF, CPF and third-party funders

5.1 OPCO / FAF / other funders. Where funding is requested, it is for the Customer to make the application, supply the required documents, check that funding has been approved before the start, and comply with administrative obligations (attendance, sign-in sheets, attestations). If funding is refused, cancelled or partial, the full cost of the training remains due by the Customer.

5.2 CPF funding (Mon Compte Formation). Where a course is booked through Mon Compte Formation (MCF), the official MCF terms apply and prevail over these Terms, and the rules of the Caisse des Dépôts apply in full. The beneficiary undertakes to comply with the CDC’s attendance rules, provide certified identity, supply the requested evidence, and respect the cancellation and withdrawal periods. Any breach may result in full or partial invoicing by the CDC.

6. Cancellation, postponement, replacement

6.1 Cancellation by the Customer. Group face-to-face courses: 15 days or more before the start, full refund; 10 to 15 days, 30% of the amount due; under 10 days, 50%; under 3 days, 100%. Individual courses: cancellation 48 working hours or more in advance, no charge; under 48 working hours, the session is due; legal English: notice reduced to 24 working hours. Any session not cancelled within these periods is invoiced in full.

6.2 Postponement or cancellation by Linguaid France. Linguaid France may postpone or cancel a session in the event of insufficient enrolments, unavailability of the trainer, force majeure or a technical problem. Amounts already paid are then refunded or converted into a credit note.

6.3 Replacement. The Customer may replace a participant with another before the start, free of charge.

7. “Communiquer en Anglais Juridique des Affaires” (CAJA) certification

The CAJA certification is registered with France Compétences under number RS6810.

7.1 Access conditions. The candidate must have an English level of B1+ to C1, accept the CAJA Certification Rules, provide valid identification, and comply with notices and instructions.

7.2 Conduct of the certification. Depending on the session, the certification may include a comprehension multiple-choice test (E3.1), a gap-fill exercise (E3.2), analysis and correction of contract clauses (E4), and an oral professional role-play (E2). The exact format is communicated to the candidate.

7.3 Results. Results are sent to the candidate by email and to the Caisse des Dépôts where enrolment was made through the CPF. An attestation of competence is issued on success.

7.4 Resit. In the event of failure, the candidate may resit the certification on the fee terms then in force.

7.5 Absence. Any unjustified absence results in automatic failure and full invoicing of the session (in particular under the CPF).

8. Obligations and liability

8.1 Customer. The Customer undertakes to provide accurate information, respect timetables, ensure participants’ attendance, have compatible equipment for remote sessions, and hold civil liability insurance.

8.2 Linguaid France. Linguaid France is bound by an obligation of means, not of result. The Training Provider’s liability may be engaged only in the event of proven fault and is limited to the amount paid by the Customer. Linguaid France cannot be held liable for failure at a certification, technical problems with the participant’s equipment, or indirect losses (e.g. loss of business).

8.3 Force majeure. Obligations are suspended in the event of force majeure (strike, pandemic, network failure, illness, etc.).

9. Intellectual property

All teaching materials are protected by copyright. The Customer has a strictly internal, non-transferable right of use. Any reproduction, distribution or modification without authorisation is prohibited.

10. Confidentiality

The parties undertake to keep confidential all information exchanged in the course of the service.

11. Personal data

Data collected is processed by Linguaid France for the management of training and certification. In accordance with the GDPR, every person has a right of access, rectification, objection and erasure. Contact: jfr@linguaid.net.
